By accessing our website at kanataq.com (including its sub-domains such as hub.kanataq.com) or kanataq.ai, or using our services, or platforms (collectively referred to as the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Acceptance of Terms

By using the Service, you agree to comply with and be bound by these Terms. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AS LAST REVISED, DO NOT USE (OR CONTINUE TO USE) THIS SERVICE OR THE SERVICES.

Eligibility

This Service is available only to Users who can form legally binding contracts under applicable law. By using this Service, you represent and warrant that you are (i) at least eighteen (18) years of age, (ii) otherwise recognized as being able to form legally binding contracts under applicable law, and (iii) are not a person barred from purchasing or receiving the Services found under the laws of the United Kingdom or other applicable jurisdiction.

If you are entering into this Agreement on behalf of a company or any corporate entity, you represent and warrant that you have the legal authority to bind such company or corporate entity to the terms and conditions contained in this Agreement, in which case the terms "You", "Your", "User" or "Customer" shall refer to such company or corporate entity. If, after your electronic acceptance of this Agreement, the company or corporate entity finds that you do not have the legal authority to bind such a corporate entity, you will be personally responsible for the obligations contained in this Agreement.

Changes to Terms

KanataQ may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Service. Your use of the Service after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation.

• Use the Service for any fraudulent or misleading activities.

• Disrupt or interfere with the Service, servers, or networks connected to the Service.

• Attempt to gain unauthorized access to any part of the Service or its related systems.

• Copy or distribute in any medium any part of this Service, except where expressly authorized by KanataQ.

• Misuse, manipulate, reverse-engineer, or attempt to extract the underlying models or prompts behind any AI features of the Service.

• Input the personal data of third parties into any AI features without a lawful basis to do so.

  
  Delisting and Suspension. KanataQ reserves the right, in its sole discretion, to suspend, restrict, or delist any solution provider that:
  
  

• Engages in conduct that violates these Terms or applicable law;

• Engages in activities that may constitute harm to KanataQ’s business reputation, commercial relationships, or legal obligations to its partners and stakeholders; or

• Otherwise acts in a manner inconsistent with the intended use and integrity of the Service.

User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your password. You agree to accept responsibility for all activities that occur under your account.

Content and Intellectual Property

All content provided on the KanataQ platform, including text, graphics, logos, data, and software, is the property of KanataQ, its partners, or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works of the content without our express written consent.

User-Generated Content

You may have the ability to submit, post, or display content on KanataQ. By submitting content, you grant KanataQ a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and distribute your content in connection with the Service. You are solely responsible for the content you submit and warrant that it does not violate any third-party rights.

AI Features

KanataQ offers AI-powered features (our "AI Agents") that help you discover sustainability solutions and providers by recommending up to five relevant providers and explaining why each may be relevant. These are recommendations only; they are not ranked, and any decision to engage a provider is yours alone. The AI Agents do not make automated decisions that produce legal or similarly significant effects about you.

AI-generated output is provided for informational purposes only, may not be accurate, complete, or current, and does not constitute professional, legal, financial, or sustainability-compliance advice. You should independently verify any information before relying on it.

The AI Features rely on third-party AI services, including Google Gemini, and your use of the AI Features may also be subject to the relevant terms of those providers.

Any content you submit to the AI Features (including your prompts, messages, and requests) remains subject to the "User-Generated Content" section above, and you grant KanataQ the licence described in that section. KanataQ may use anonymised summaries of the requests you make to the AI Features - which do not include your personal details - to operate, improve, and develop the Service and KanataQ's products and features, including its intelligence and analytics offerings. As between you and KanataQ, KanataQ owns the AI-generated output produced through the AI Features.

The AI Features may change, expand to additional functions, or be withdrawn at any time, and are otherwise subject to the "Disclaimers" and "Limitation of Liability" sections of these Terms.

Trust Rank System

KanataQ features a Trust Rank system, which is influenced by client endorsements. By participating in the Trust Rank system, you agree to provide accurate information about your clients. KanataQ reserves the right to verify the accuracy of such information.

Payments and Fees

While KanataQ is free for buyers, certain services may be subject to fees for solution providers. These fees will be clearly disclosed before you incur any charges. Pre-revenue and pre-raise sustainability solution start-ups may list their solutions for free under specific conditions. Payment terms and fees are subject to change, and any changes will be communicated in advance.

Third-Party Links and Resources

KanataQ may contain links to third-party websites or resources. These links are provided for your convenience only, and KanataQ is not responsible for the content or practices of any third-party sites.

Data Transfer 

If you are visiting this Service from a country other than the country in which our servers are located, your communications with us may result in the transfer of information across international boundaries. Disclaimers

The Service is provided on an "as-is" and "as-available" basis. KanataQ makes no warranties, express or implied, regarding the Service's availability, accuracy, or reliability. KanataQ disclaims all warranties to the fullest extent permitted by law.

To the maximum extent permitted by law, KanataQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. In no event shall KanataQ's total liability exceed the amount paid by you to KanataQ, if any, for accessing the Service.

Indemnification

You agree to indemnify and hold harmless KanataQ, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Service or your violation of these Terms.

Termination

KanataQ reserves the right to terminate or suspend your account and access to the Service at our discretion, without notice, if we believe you have violated these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales without regard to its conflict of laws principles. Any legal action arising out of or relating to these Terms or the Service shall be filed exclusively in the courts located in London, UK.
